内容简介:

This study investigates the implications of CEO-CFO language style matching (LSM)—a form of verbal mimicry. High levels of CEO-CFO LSM can be caused by high CEO-CFO interpersonal cohesion and/or CFOs’ ingratiation of CEOs, both of which can bias CEOs to make positive evaluations of CFOs. We examine its possible effects on both CFOs’ personal outcomes and their firms’ organizational outcomes. At the CFO personal level, we predict that CFOs who exhibit higher LSM with CEOs receive higher compensation and are more likely to become board members of the focal firms. At the firm level, we predict that when CEOs and CFOs exhibit higher LSM, CFOs are less likely to play a devil’s advocacy role in strategic decision processes. As a result, firms may undertake more acquisitions but such acquisitions realize lower stock market returns. Using a sample of over 2,000 U.S. firms in 2002-2013, we find empirical support for these predictions. Our theoretical arguments and empirical findings can cast a more balanced view on both the positive and negative aspects of social interactions between executive leaders.
